SETTING THE SCENE

StoryShare Holdings Limited (StoryShare) is a SaaS communication and learning platform optimised for mobile. The platform delivers ‘Netflix-style’ communication and learning experiences – available to any employee, anytime, anywhere, on any device – boosting engagement and development, and better equipping people to do their jobs.

The business has grown organically to date and approached our growth finance team to help capitalise on the market opportunity for their Connect and Learn products. The business was looking to raise funds to enhance its sales and marketing functions, and to grow its technology team to service its ever-growing pipeline of enterprise clients.

DELIVERING THE SOLUTION

Our growth finance team helped prepare a regulatory compliant investment memorandum and ran a competitive deal process with a number of carefully selected equity investors. We also supported the business with tax structuring and the implementation of an EMI scheme.

Our support led to deal completion, with £2m of growth capital provided by Gresham House Ventures, a leading UK VCT and Private Equity investor, over two tranches.

WHAT WE BROUGHT TO THE TABLE

– We created a comprehensive, FCA-compliant investment memorandum;

– We stress-tested the funding strategy, identifying potential targets and managing a competitive end-to-end process. From first meetings with investors, all the way through to deal completion;

– We used our stage and sector-specific deal experience to benchmark offers and give our advice on the choice of funding provider; and

– We helped StoryShare structure a funding package best suited to the business, completing the deal and enabling them to execute their growth plan with Gresham House Ventures as a long-term funding partner.
