What do you do?

I help management teams cut through the noise when big transactions land. Whether it’s a PE investment, an exit, a rollover or a new incentive plan, I advise on the tax and structuring of management equity so people understand exactly what they’re signing up to — and what they stand to gain. I work across both buy-side and sell-side deals. On the buy-side, I help clients spot risk early, shape commercial incentive structures and make sure management plans actually work in the real world. On the sell-side, I work alongside our corporate finance teams to help management navigate the pressure, pace and complexity that comes with transformational deals. At the heart of it, it’s about helping people make confident decisions at career-defining moments.

Why do you do it?

I didn’t set out to work in management incentives — but once I found it, I was hooked. I started with a history degree, moved into private client tax and eventually found my way into the world of deals and equity incentives. It turns out that’s where technical complexity, commercial thinking and people all collide — which is exactly what I enjoy most. No two transactions are ever the same. One day you’re unpicking years of historic equity arrangements, the next you’re helping a founder or management team understand what a life-changing transaction really means for them. And that’s the best bit. Being trusted to guide people through some of the biggest moments of their careers — and sometimes their lives — is a privilege I never take for granted.

What kind of projects have you been involved in?

Everything from founder-led exits and PE-backed buyouts to management rollovers, growth share arrangements and incentive plan redesigns. A big part of my role is helping management teams understand the “why” behind the structure — not just the technical tax answer. That means translating complex equity and tax concepts into something commercially meaningful and genuinely useful. I’ve worked on transactions where management incentives were straightforward, and plenty where they absolutely weren’t. Untangling historic equity incentive plans, stress-testing tax risks, designing future incentive arrangements and helping people avoid expensive mistakes is all part of the job. The common thread? Helping deals move forward with clarity, confidence and no nasty surprises later.

What’s on the top of your bucket list?

Taking my husband and two young boys on some big travelling adventures. South America and Japan are both high on the list — partly for the food and culture, partly for the chaos that usually comes with travelling as a family.
